1. ACCEPTANCE OF TERMS
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User", "Subscriber", or "you") and Ram Freight Technologies Inc. ("Company", "we", "us", or "our"), the owner and operator of the Ram Freight Technologies Load board located at https://ramfreighttechnologies.com/ (the "Site") and related mobile applications and services (collectively, the "Platform").
By accessing, browsing, subscribing to, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind such entity to these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
2. NATURE OF SERVICE AND LIMITATION OF ROLE
2.1 The Service
The Platform provides an online freight matching marketplace and information service that allows authorized carriers, shippers, freight brokers, and other industry participants to post and search for load and truck availability (the "Service").
2.2 Neutral Venue / Middleman Status
You expressly acknowledge and agree that Ram Freight Technologies Inc. acts solely as a neutral venue and middleman connecting end-users.
- We are not a Carrier: We do not own or operate trucks, ships, trains, or aircraft.
- We are not a Freight Broker: We do not arrange for the movement of freight, negotiate rates, or handle funds related to freight transactions.
- We are not a Party to Transactions: Any agreement, transaction, or contract for the movement of freight is strictly between the User and the counter-party (Carrier/Shipper/Broker).
- No Agency: No agency, partnership, joint venture, or employment relationship is created between you and the Company by your use of the Platform.
3. USE OF ARTIFICIAL INTELLIGENCE (AI)
3.1 AI Integration
You acknowledge that the Platform utilizes proprietary and third-party Artificial Intelligence and Machine Learning technologies ("AI Systems") for operational purposes, including but not limited to content moderation, fraud detection, security scanning, identity verification, and data optimization.
3.2 Automated Decision Making
The Company reserves the right to use AI Systems to automatically flag, hide, or delete content, or to suspend, restrict, or ban User accounts that the AI Systems identify as violating these Terms, engaging in suspicious activity, or posing a security risk to the Platform.
3.3 AI Limitation of Liability
While we strive for high accuracy, AI Systems are probabilistic and not infallible. You agree that Ram Freight Technologies Inc. shall not be liable for:
- "False positives" resulting in the temporary removal of legitimate listings or temporary suspension of accounts.
- The failure of AI Systems to detect fraudulent, illegal, or prohibited content posted by other Users.
- Any business interruptions or lost revenue resulting from automated moderation actions.
4. ELIGIBILITY AND ACCOUNT REGISTRATION
4.1 Commercial Use Only
The Service is intended solely for commercial business purposes. You represent and warrant that you are a bona fide carrier, shipper, freight broker, freight forwarder, or 3PL operating under valid government authority. You represent and warrant that you are not a "consumer" as defined under the Consumer Protection Act, 2002 (Ontario) or similar legislation in your jurisdiction.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account. Sharing login credentials outside of your authorized organization is strictly prohibited.
4.3 Verification
We reserve the right to verify your operating authority (e.g., CVOR, USDOT, MC Number) and identity at any time. Failure to provide requested verification documents may result in immediate account suspension.
5. SUBSCRIPTIONS, FEES, AND PAYMENTS
- 5.1 Subscription Fees: Access to the Load board is a fee-based subscription service. You agree to pay all fees associated with your chosen subscription plan. All prices are quoted in the currency displayed at checkout (CAD or USD) and are subject to change with prior notice.
- 5.2 Automatic Renewal: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing cycle (monthly or annually) unless you cancel your subscription at least twenty-four (24) hours before the renewal date through your account settings. You authorize us to charge your payment method on file for the renewal term.
- 5.3 No Refunds: ALL PAYMENTS ARE NON-REFUNDABLE. There are no refunds or credits for partially used periods, accidental renewals, or account terminations due to Terms violations.
- 5.4 Taxes: You are responsible for all applicable taxes. If you are a resident of Canada, applicable sales taxes (HST/GST/QST/PST) will be added to your subscription fee based on your billing address.
6. USER CONDUCT AND PROHIBITED ACTS
You agree NOT to:
- Scrape Data: Use any robot, spider, scraper, deep-link, or other automated data gathering or extraction tools to access or monitor the Platform.
- Double Broker: Post loads that you do not have the direct authority to move or broker (unauthorized co-brokering is strictly prohibited).
- Post Prohibited Content: Post loads involving illegal goods, hazardous materials not properly declared, or content that is defamatory, obscene, or fraudulent.
- Circumvent Security: Attempt to bypass our AI security measures, firewalls, or access controls.
- Resell Services: Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.
7. INTELLECTUAL PROPERTY AND CONTENT LICENSE
The Platform, including its code, database structure, and proprietary algorithms, is the sole property of Ram Freight Technologies Inc. By posting data (including loads and truck availability) to the Platform, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, and adapt such content for the operation of the Service, including the training of our AI models.
8. DISCLAIMERS
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY LOAD OR TRUCK INFORMATION POSTED BY USERS. IT IS YOUR SOLE RESPONSIBILITY TO VET ANY PARTY YOU TRANSACT WITH.
9. LIMITATION OF LIABILITY
IN NO EVENT SHALL RAM FREIGHT TECHNOLOGIES INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.1 Protection of Successors and Heirs
The limitations of liability, indemnities, and protections set forth in this Agreement shall inure to the benefit of Ram Freight Technologies Inc. and its respective successors, assigns, and heirs, ensuring the protection of future generations of ownership and management.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Ram Freight Technologies Inc. from any claims, liabilities, or damages arising out of your violation of these Terms or your use of the Platform.
11. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action arising out of these Terms shall be instituted exclusively in the courts of the Province of Ontario, Canada.
